MINUTES of NAWBO Bangor’s Annual Meeting
Meeting date: 02/11/2011

Call to order: Annual Member meeting of the National Association of Women Business Owners (NAWBO) Bangor was held in the Darling’s Corporate Headquarters, 96 Parkway South, Unit 1, Brewer, Maine 04412 on February 11, 2011. The meeting convened at 12PM, President Kristy Kimball presiding.

Members in attendance: 9

• President Kristy Kimball awarded recognition honors to:  Megan Krause, Carrie Meo, Mackie Hill, Jennifer Morin, Roberta Winchell & Marion Syversen.

• President Kristy Kimball put forth the Proxy vote for the 2011-2012 Slate of Directors to all present members.   No votes received in the mail.  Vote Tally:  8 eligible voters passed proxy by a unanimous “For” vote.  1 un-eligible to vote member present.  *Notice of Meeting of Members & Proxy included*

• President Kristy Kimball relinquishes President’s position to the newly elected President Roberta Winchell.

• Immediate Past President Kristy Kimball calls the Executive Committee Meeting to order.

• Immediate Past President put forth a motion to amend the By-laws for the term of 2011-2012 to allow a Director to fill an Officer seat at the same time - Immediate Past President and Secretary will be one position for one year.  A vote was passed out to all eligible voters.  Vote Tally:  8 eligible voters passed the motion unanimously.

• President Roberta Winchell commences the Executive Committee Meeting:

5 Motions were presented to the Executive Committee - 4 passed, 1 failed.

Adjournment: The meeting was adjourned at 1:16PM.
